This AGREEMENT (the “Agreement”) is made as of the 30th day of August, 2005 (the “Effective Date”), by and between Hasbro, Inc., a Rhode Island corporation, (“Hasbro” or the “Company”) and Alan G. Hassenfeld (the “Chairman”).
