This Agreement (“Agreement”) shall be deemed effective as of April 4, 2003 (the “Effective Date”), between Access Point, Inc. (“API”), a corporation organized under the laws of the State of North Carolina, with offices at 16 Hyland Road, Suite D, Greenville, SC 29615 and Verizon North Inc. (“Verizon”), a corporation organized under the laws of the State of Wisconsin with offices at 1717 Arch Street, Philadelphia, PA 19103 (Verizon and API may be referred to hereinafter, each, individually as a “Party”, and, collectively, as the “Parties”).
