THIS DEVELOPMENT AGREEMENT (this “Agreement”) is made and entered into as of the Effective Date (as hereinafter defined) among the CITY OF WICHITA, KANSAS a municipal corporation organized under the laws of the State of Kansas (the “City”), UNION STATION, LLC, a Kansas limited liability company (“US, LLC”) and ICE HOUSE, LLC, a Kansas limited liability company (“IH, LLC” and together with US, LLC, collectively the “Developer,” and the City and Developer are collectively referred to herein as the “Parties” and each a “Party”) for development of a portion of the area known as Union Station, more particularly described below.
