This Agreement, including Amendment No. 1 (TRO Amendment) hereto (“Agreement”) shall be deemed effective as of September 1, 2005 (the “Effective Date”), between CloseCall America, Inc. (“CCA”), a corporation organized under the laws of the State of Delaware, with offices at 101- A Log Canoe Circle, Stevensville, MD 21666 and Verizon Pennsylvania Inc. (“Verizon”), a corporation organized under the laws of the Commonwealth of Pennsylvania with offices at 1717 Arch Street, Philadelphia, PA 19103 (Verizon and CCA may be referred to hereinafter, each, individually as a “Party”, and, collectively, as the “Parties”).
