day of 2013, (“Effective Date”), by and between the Town of Guadalupe, a township duly organized under the laws of the State of Arizona, and the City of Tempe (“Tempe” or “City of Tempe”), a municipal corporation duly organized and existing under the laws of the State of Arizona. The entities are referred to jointly herein as “Parties” and individually as “Party”. This Agreement constitutes the entire understanding and agreement of the Parties.
