Ladies and Gentlemen: This amends the Sub-Investment Advisory Agreement (the "Sub- Advisory Agreement") dated as of May 1, 2002 by and among Credit Suisse Global Post-Venture Capital Fund, Inc. (the "Fund"), Credit Suisse Asset Management, LLC ("CSAM") and Credit Suisse Asset Management Limited (the "Sub-Adviser"). Capitalized terms used herein but not otherwise defined shall have the meanings set forth in the Sub-Advisory Agreement. In consideration of the covenants and agreements expressed herein, the parties agree as follows: 1. Effective July 22, 2002, the Sub-Advisory Agreement is hereby amended and restated in its entirety as follows: "SCHEDULE A CSAM will pay the Sub-Adviser a fee of $250,000 per annum (the "Total Fee"), one quarter of which shall be payable in U.S. dollars in arrears on the last business day of each calendar quarter.
