COVENANTS (as supplemented and amended from time to time, this “Regulatory Agreement”) is made and entered into as of February 1, 2015, by and among the CITY OF SAN JOSÉ, CALIFORNIA, a municipal corporation and charter city organized and existing under its Charter and the laws of the State of California (together with any successor to its rights, duties and obligations, the “Governmental Lender”), U.S. BANK NATIONAL ASSOCIATION, a national banking association organized and existing under the laws of the United States of America, as fiscal agent under the Funding Loan Agreement referred to in the Recitals below (together with any successor thereto as such fiscal agent, the “Fiscal Agent”), and MCCREERY AVENUE LP, a California limited partnership (together with any successor to its rights, duties and obligations hereunder and as owner of the Project identified herein, the “Borrower”).
