This AMENDED AND RESTATED MANAGEMENT AGREEMENT (this “Agreement”) is executed on August 19, 2014, and effective as of August 1, 2013, by and between NP OPCO LLC, a limited liability company organized under the laws of Nevada (“Owner”), and FE OPCO MANAGEMENT LLC, a limited liability company organized under the laws of Delaware (“Manager”).
