THIS AMENDED AND RESTATED COMMON STOCK PURCHASE AGREEMENT (this “Agreement”) dated as of February 28, 2012 among PACIFIC MERCANTILE BANCORP, a California corporation (the “Company”), and the Carpenter Funds (as defined below) (each, a “Purchaser” and collectively, the “Purchasers”).
