This Limited Purpose Party Membership Agreement (the "Agreement") is entered into this day of , 2020 by and between the FLORIDA RESILIENCY AND ENERGY DISTRICT ("FRED"), a public body corporate and politic created as a separate legal entity pursuant to Section 163.01(7), Florida Statutes, and City of Port Orange, a political subdivision of the State of Florida (the "CITY") (collectively, the "Parties") for the purpose of providing a Property Assessed Clean Energy ("PACE") program within the legal boundaries of the CITY.
