This agreement, effective April 16, 2015 (this “Agreement”), is made by and among Leap Tide Capital Management, LLC, and Jan Loeb (each, a “Leap Tide Stockholder,” and collectively, the “Leap Tide Group”), and DiaDEXUS, Inc.
