This Purchase and Sales Agreement (“Agreement”) is made and entered into on this day of June, 2010 (“Effective Date”), by and between the STATE OF CALIFORNIA and the 32nd District Agricultural Association (and to the extent necessary the 32A District Agricultural Association (“ASSOCIATION”) (collectively, the “STATE”), and the Orange County Fairgrounds Authority, a Joint Powers Authority formed under the laws of the State of California (“BUYER”). STATE and BUYER are collectively referred to herein as the “PARTIES”.
