This Amended and Restated Change in Control Agreement (“Agreement”), is effective as of June 1, 2023 (the “Effective Date”), and is entered into between Horizon Bank (“Bank”), an Indiana state bank, and Thomas M. Prame (“Employee”). On the Effective Date, this Agreement shall amend and restate that certain Change in Control Agreement between the Bank and Employee dated August 15, 2022, which shall be terminated and of no further force and effect thereafter. Prior to the effective date, the terms and conditions of the Change in Control Agreement dated August 15, 2022, will continue to be in effect, and if the Employee’s employment with the Bank is terminated for any reason prior to the Effective Date, this Agreement shall automatically terminate and be of no further force and effect.

THIS CHANGE IN CONTROL AGREEMENT (“Agreement”), dated and effective as of August 15, 2022 (the “Effective Date”), is entered into between HORIZON BANK (“Bank”), an Indiana state bank, and THOMAS M. PRAME (“Employee”). If Employee’s employment with the Bank does not commence on the Effective Date for any reason, this Agreement shall automatically terminate and be of no further force and effect.
