This Agreement, including Amendment No. 1 (TRO Amendment) hereto (“Agreement”) shall be deemed effective as of June 21, 2006 (the “Effective Date”), between Velocity.Net Communications, Inc. (“VNCI”), a corporation organized under the laws of the Commonwealth of Pennsylvania, with offices at 2503 W 15th St., Suite 10, Erie, PA 16505 and Verizon Pennsylvania Inc. (“Verizon”), a corporation organized under the laws of the Commonwealth of Pennsylvania with offices at 1717 Arch Street, Philadelphia, PA 19103 (Verizon and VNCI may be referred to hereinafter, each, individually as a “Party”, and, collectively, as the “Parties”).
