This is a contract “Contract” by and between the Texas Health and Human Services Commission (“HHSC” or “System Agency”), an administrative agency within the executive department of the State of Texas and having its principal office in Austin, TX, and Cooper Consulting Company (“Vendor,” “Contractor,” or “Respondent”), a Texas Company having its principal office at 1705 Crossing Pl, Unit 101A, Austin, TX 78741 (each a “Party” and collectively the “Parties”). The Parties execute this Contract as a procurement by System Agency under and via DIR Contract #DIR-TSO-3904 (the “DIR Contract”), and they agree that the terms of the DIR Contract apply to and govern this Contract as described herein. Capitalized terms used in the Contract shall have the meanings provided in the Contract or the DIR Contract.
