Agreement”) is made and entered into effective as of December 10, 2014 (the “Effective Date”), by and among the Harris County-Houston Sports Authority (the “Sports Authority”), Harris County Sports & Convention Corporation, (“HCSCC”), Houston NFL Holdings, L.P., (the “Club”) and the Houston Livestock Show and Rodeo, Inc. (the “Rodeo”). The Sports Authority, HCSCC, Club and Rodeo are sometimes referred to herein as the “Parties” and each of the Sports Authority, HCSCC, Club and Rodeo individually is sometimes referred to as a “Party.”
