Heckaman, Jr. (“Employee”) effective as of the Emergence Date (as such term is defined herein) and as amends, restates and replaces in its entirety the Second Amended and Restated Employment Agreement dated November 4, 2008, which amended and restated the Amended and Restated Employment Agreement dated May 9, 2001, and which in turn restated the original Employment Agreement dated as of May 11, 1999. Unless otherwise specified, capitalized terms have the meanings set forth herein.
