into the agreement (the “Agreement”) entered into between Western Forest Products US LLC (the “Buyer”) and the supplier (the “Seller”) identified in the Purchase Order (the “PO”) generated by the Buyer. The Agreement consists of the PO, these terms and conditions and, if applicable, the written Product Supply Agreement or Service Supply Agreement executed by both parties. Any conflicts between the document will be resolved in the following order of precedence: (i) the Product Supply or Service Supply Agreement, (ii) the PO, and (iii) these terms and conditions. Seller’s acceptance of the PO is deemed sufficient to constitute Seller’s acceptance of the terms and conditions herein. ANY DIFFERENT OR ADDITIONAL TERMS WILL NOT BE BINDING UNLESS AGREED TO BY THE PARTIES IN WRITING.
