THIS ASSET PURCHASE AGREEMENT (the “Agreement”) is made and entered into effective as of , 2014 (the “Effective Date”), by and between NORTH CAROLINA EASTERN MUNICIPAL POWER AGENCY, a joint agency and public body and body corporate and politic organized and existing under North Carolina law (“Seller”), and DUKE ENERGY PROGRESS, INC., a North Carolina corporation (“Purchaser”). Seller and Purchaser are also each referred to herein individually as a “Party” and collectively as the “Parties.”
