This Agreement is made and entered into as of January 12, 2021 by and between Hilton Lexington/Downtown (hereinafter referred to as “Hotel”) and Kentucky Educational Development Corporation (hereinafter referred to as “Group”). Group agrees that the terms of this Agreement are based upon the information provided by Group below. In the event that the information provided by Group materially changes or is incorrect, then this Agreement may be terminated pursuant to Section 5.
