THIS STOCK PURCHASE AGREEMENT (this “Agreement”), dated as of July 8, 2014 (the “Signing Date”), by and among CommonWealth REIT, a Maryland real estate investment trust (“Seller”), Government Properties Income Trust, a Maryland real estate investment trust (“GOV”), and Reit Management & Research LLC, a Delaware limited liability company (“RMR” and collectively with GOV, “Purchasers”).
