AND SECURITY AGREEMENT (as amended, modified, or restated from time to time, “Agreement”) entered into as of MARCH , 2018 (the “Effective Date”), by and among (i) CCP Finance II LLC, a Delaware limited liability company (together with its successors and assigns, “DIP Lender” or “Lender”), (ii) Wachusett Ventures, LLC, Massachusetts limited liability company and a debtor-in-possession, (“Wachusett”) (iii) WV – Concord SNF Opco, LLC, WV – Rockport SNF Opco, LLC and WV – Quincy SNF Opco, LLC, each a Massachusetts limited liability company and a debtor-in-possession (each a “MA Debtor” and collectively, the “MA Debtors”), and (iv) WV-Crossings West LLC, WV-Crossings East LLC, and WV-Parkway Pavilion LLC, each a Connecticut limited liability company and a debtor-in-possession (each a “CT Debtor” and collectively, the “CT Debtors”).
