THIS PURCHASE AND SALE AGREEMENT (the “Agreement”) dated February 12, 2014, to be effective as of March 1, 2014 (the “Effective Date”) is made by and between M3 APPALACHIA GATHERING, LLC, a Delaware limited liability company (“Seller”) and RICE POSEIDON MIDSTREAM LLC, a Delaware limited liability company (“Buyer”).
