This Agreement (“Agreement”) shall be deemed effective as of January 15, 2002 (the “Effective Date”), between Winco, Inc. (“Winco”), a corporation organized under the laws of the State of Illinois, with offices at 1180 Reid Road, Winchester, Illinois 62694 and Verizon North Inc., f/k/a GTE North Incorporated and Verizon South Inc., f/k/a GTE South Incorporated (“Verizon”), a corporation organized under the laws of the State of Wisconsin with offices at 8001 West Jefferson, Ft. Wayne, IN 46804 (Verizon and Winco may be referred to hereinafter, each, individually as a “Party”, and, collectively, as the “Parties”).
