This Agreement (“Agreement”) shall be deemed effective as of November 28, 2001 (the “Effective Date”), between VarTec Telecom, Inc. d/b/a VarTec Telecom (“VarTec”), a corporation organized under the laws of the State of Texas, with offices at 1600 Viceroy Drive, Dallas, Texas 75235 and Verizon New England Inc., d/b/a Verizon Massachusetts, f/k/a New England Telephone and Telegraph Company, d/b/a Bell Atlantic - Massachusetts (“Verizon”), a corporation organized under the laws of the State of New York with offices at 185 Franklin Street, Boston, MA 02110 (Verizon and VarTec may be referred to hereinafter, each, individually as a “Party”, and, collectively, as the “Parties”).
