THIS ASSET PURCHASE AGREEMENT (this “Agreement”), dated effective as of September 30, 2021 (the “Closing Date”), is entered into among EVOLUTION PAYROLL PROCESSING LLC, a Delaware limited liability company (“Buyer”), USA PROCESSING, INC., a New Jersey corporation doing business as USA Payroll (“Seller”), MARY VANWYK-FIANNACA, a New Jersey resident (“M. Fiannaca”) and FRANK FIANNACA, a New Jersey resident (“F. Fiannaca” and together with M. Fiannaca, the “Benefited Parties” and each a “Benefited Party”).
