This Amended and Restated Securities Purchase Agreement (this “Agreement”), dated as of April 11, 2024, comes to correct and replace the Securities Purchase Agreement dated as of September 29, 2023 (the “Original Agreement”), between G Medical Innovations Holdings Ltd., a Cayman Islands exempted company (the “Company”), and each purchaser identified on the signature pages hereto (each, including its successors and assigns, a “Purchaser” and collectively, the “Purchasers”).
