Credit Suisse First Boston Mortgage Securities Corp., a corporation organized and existing under the laws of the State of Delaware (the “Depositor”), proposes to sell to Credit Suisse Securities (USA) LLC (“Credit Suisse”) (the “Underwriter”) fifteen classes of the Depositor’s Home Equity Mortgage Pass-Through Certificates, Series 2006-5. Such classes have been designated as the Class A-1, Class A-2, Class A-3, Class A-IO, Class A-R, Class M-1, Class M-2, Class M-3, Class M-4, Class M-5, Class M-6, Class M-7, Class M-8, Class M-9 and Class B-1 Certificates (collectively, the “Certificates”). The Certificates, together with the Depositor’s Home Equity Mortgage Pass-Through Certificates, Series 2006-5, Class P, Class X-1, Class X-2 and Class X-S Certificates, will represent the entire beneficial ownership interest in a trust fund (the “Trust Fund”) consisting of a pool of conventional, primarily fixed rate, one-to-four family, primarily second lien residential mortgage loans (the “Initia
