THIS EMPLOYMENT AGREEMENT (the “Agreement”) dated as of December 2, 2002 (the “Effective Date”), by and between Madison Bank, a Florida chartered commercial bank (the “Bank”), the Bank’s corporate parent, Madison BancShares, Inc., a Florida corporation (the “Holding Company”) and Martin W.
