This letter agreement (the "Agreement") confirms our understanding that UNR Asbestos-Disease Claims Trust (the "Trust") has engaged Donaldson, Lufkin & Jenrette Securities Corporation ("DLJ") to act as its exclusive financial advisor for a period of twelve (12) months, commencing upon your acceptance of this Agreement, with respect to the sale, in one or a series of transactions, of all or a portion of the shares of common stock, $.01 par value per share (the "Shares") of Rohn Industries, Inc. (the "Company") owned by the Trust, whether pursuant to a stock sale, with or without other current stockholders of the Company, or pursuant to a merger or consolidation of the Company with a third party (each "Transaction").
