Common use of Your Use of the Services Clause in Contracts

Your Use of the Services. You agree to use the Services solely in conjunction with the operation of your business, and such operation may include use by related third-party partners, vendors, and clients with whom you collaborate in Your normal course of business and to whom you may grant access to Your Account. You are responsible for all use of the Services by your authorized users. You control access to and the management of the Your Data through Your account. You acknowledge and understand that You are solely responsible for the use of and the results obtained from the Services. You will comply with any and all applicable laws regarding Your use of the Services including applicable international export rules and regulations, laws and treaties governing Your use of the Services, laws related to data privacy, international communications, and the transmission of technical or personal data. You will not (a) license, sublicense, sell, resell, transfer, assign, distribute or otherwise commercially exploit or make available to any unrelated third party or competitor of ETAIL the Services in any way; (b) modify or make derivative works based upon the Services; (c) “frame” or “mirror” the Services on any other server or wireless or Internet-based device; (d) reverse engineer or access the Services in order to (i) build or offer a competitive product or service, (ii) build or offer a product or service using similar ideas, features, functions or graphics of the Services, or (iii) copy any ideas, features, functions or graphics of the Services; (e) use the Services (i) for any illegal purpose, (ii) for unauthorized access or distribution of any software, data, or material protected by copyright, patent, or trade secret, or (iii) to post or transmit any hateful, vulgar, threatening, libelous, abusive, harassing, defamatory, racially, ethnically, or otherwise unlawful or tortious material, including material harmful to children. You shall not: (a) intentionally interfere with or disrupt the integrity or performance of the Services; or (b) attempt to gain unauthorized access to the Services, (c) intentionally send or store software viruses, worms, Trojan horses, or other harmful computer code, files, scripts, agents or programs intended to interfere with the Services or other users of the Services.

Your Use of the Services. You will not (a) except as expressly permitted by the Application make any Service or Content available to, or use any Service or Content for the benefit of, anyone other than you or other Users, (b) sell, resell, license, sublicense, selldistribute, resellrent or lease any Service or Content, transferor include any Service or Content in a service bureau or outsourcing offering, assign, distribute or otherwise commercially exploit or make available to any unrelated third party or competitor of ETAIL the Services in any way; (b) modify or make derivative works based upon the Services; (c) “frame” or “mirror” the Services on any other server or wireless or Internet-based device; (d) reverse engineer or access the Services in order use a Service to (i) build or offer a competitive product or service, (ii) build or offer a product or service using similar ideas, features, functions or graphics of the Services, or (iii) copy any ideas, features, functions or graphics of the Services; (e) use the Services (i) for any illegal purpose, (ii) for unauthorized access or distribution of any software, data, or material protected by copyright, patent, or trade secret, or (iii) to post store or transmit any hateful, vulgar, threateninginfringing, libelous, abusive, harassing, defamatory, racially, ethnically, or otherwise unlawful or tortious material, including or to store or transmit material in violation of third party privacy rights, (d) use a Service to store or transmit harmful to children. You shall not: code (aas defined above), (e) intentionally interfere with or disrupt the integrity or performance of the Services; any Service or third party data contained therein, (bf) attempt to gain unauthorized access to any Service or Content or its related systems or networks, (g) subject the ServicesService to any excessive or unusual usage or loads, or interfere with the ordinary operation of the Service (in each case, in our sole discretion), (h) copy a Service or any part, feature, function or user interface thereof, (i) copy Content except as permitted herein, (j) frame or mirror any part of any Service or Content, other than framing on your own intranets or otherwise for your own internal business purposes or as expressly permitted on the Site, (k) access any Service or Content in order to build a competitive product or service, (l) communicate with or send any notice or other information to any another User through the Application except in relation to the Services and in accordance with these Terms, the Privacy Policy, and all applicable laws, or (l) reverse engineer any Service (to the extent such restriction is permitted by law). You will (a) be responsible for your personnel’s compliance with these Terms, (b) be responsible for the accuracy, quality and legality of your Data and the means by which you acquired your Data, (c) intentionally send use commercially reasonable efforts to prevent unauthorized access to or store software virusesuse of Services and Content, wormsand notify us promptly of any such unauthorized access or use of which you become aware, Trojan horses, or other harmful computer code, files, scripts, agents or programs intended to interfere and (d) use Services and Content only in accordance with the Services or other users of the Servicesthese Terms and applicable laws.

Your Use of the Services. Further, You agree, on behalf of Yourself and Users, not to (a) modify, adapt, or hack the operation of your business, and such operation may include use by related third-party partners, vendors, and clients with whom you collaborate in Your normal course of business and Services or otherwise attempt to whom you may grant gain or gain unauthorized access to Your Account. You are responsible for all use of the Services by your authorized users. You control access to and or related systems or networks or tamper with or breach the management of the Your Data through Your account. You acknowledge and understand that You are solely responsible for the use of and the results obtained from the Services. You will comply with any and all applicable laws regarding Your use of the Services including applicable international export rules and regulations, laws and treaties governing Your use security of the Services, laws related to data privacy, international communications, and the transmission of technical or personal data. You will not ; (ab) license, sublicense, sell, resell, transfer, assign, distribute or otherwise commercially exploit or make available to any unrelated third party or competitor of ETAIL use the Services in any waymanner that interferes with or disrupts the integrity or performance of the Services and its components; (bc) modify not use or make derivative works based upon permit the use of any software, hardware, application or process that interferes with the Services, interferes with or disrupts servers, systems or networks connected to the Services, or violates the regulations, policies or procedures of such servers, systems or networks, accesses or attempts to access Our other customers' accounts, servers, systems or networks without authorization, or harasses or interferes with Our other customers' use and enjoyment of the Services; (c) “frame” or “mirror” the Services on any other server or wireless or Internet-based device; (d) attempt to decipher, decompile, reverse engineer or access the Services in order to (i) build or offer a competitive product or serviceengineer, (ii) build or offer a product or service using similar ideasdisassemble, features, functions or graphics of the Servicesreproduce, or (iii) copy or otherwise access or discover or attempt to derive the source code or underlying program of any ideas, features, functions or graphics of software making up the Services; (e) falsely imply any sponsorship or association with Us; (f) use the Services in any unlawful manner, including but not limited to violation of any person's privacy rights; (g) use the Services to send unsolicited communications junk mail, spam, pyramid schemes or other forms of duplicative or unsolicited messages; (h) use the Services to store or transmit any content that infringes upon any person's intellectual property rights; (i) for remove or modify any illegal purposetrademarks, (ii) for unauthorized access trade names, service marks, service names, logos or distribution of any software, databrands, or material protected by copyright, patentcopyright or other proprietary notices on the Services or the Documentation, or trade secretadd any other markings or notices to the Services or the Documentation; (j) use the Services to knowingly post, transmit, upload, link to, send or (iii) to post or transmit store any content that is unlawful, racist, hateful, vulgar, threateningabusive, libelous, abusive, harassing, defamatory, racially, ethnicallyobscene, or otherwise unlawful discriminatory or tortious materialpromotes any financial exploitation or a criminal activity; (k) modify, including material harmful port, adapt, translate or create any derivative work based upon the Services or the Documentation; (l) use the Services to children. You shall not: (a) intentionally interfere with or disrupt the integrity or performance of the Services; or (b) attempt to gain unauthorized access to the Servicesknowingly post, (c) intentionally transmit, upload, link to, send or store software any viruses, wormsmalware, Trojan horses, time bombs, worms or cancelbots or any other similar harmful computer codesoftware ("Malicious Software"); (m) establish a link to the Websites in such a way as to suggest any form of association, filesapproval or endorsement on Our part where none exists; (n) use of the Services for any purpose prohibited by applicable export laws and regulations, scriptsincluding without limitation, agents nuclear, chemical, or programs intended biological weapons proliferation, or development of missile technology or related to interfere the sale of controlled substances such as illegal drugs, tobacco products, prescription drugs or medications, steroids such as human growth hormone; (o) use the Services in a manner that that is not in compliance with PCI DSS; or (p) try to use, or use the Services in violation of these Terms and/or applicable law. Neither You nor any of Your Affiliates shall access or use the Services or other users Websites if such individual or entity is a competitor of Outerbase. You and Your Affiliates shall not access or use the ServicesServices or Website to evaluate its functionality or performance for competitive purposes, including for developing any similar application, product or service. Further, at Our sole discretion, any suspected fraudulent, abusive, or illegal activity by You may be referred to law enforcement authorities.

Your Use of the Services. You As a condition of using the Services, you agree not to use the Services solely in conjunction with the operation of your business, and such operation may include use for any purpose that is prohibited by related third-party partners, vendors, and clients with whom you collaborate in Your normal course of business and to whom you may grant access to Your Accountthis Agreement. You are responsible for all use of your activity in connection with the Services and you shall abide by all local, state, national, and international laws and regulations and any applicable regulatory codes. You agree you SHALL NOT: resell, rent, lease, loan, sublicense, distribute, or otherwise transfer rights to the Services; modify, reverse engineer, decompile or disassemble the Services; copy, adapt, alter, modify, translate, or create derivative works of the Services by your authorized users. You control access to and the management without written authorization of the Your Data through Your account. You acknowledge and understand that You are solely responsible for the Company; permit other individuals to use of and the results obtained from the Services. You will comply with any and all applicable laws regarding Your use of the Services including applicable international export rules and regulations, laws and treaties governing Your use of the Services, laws related including but not limited to data privacyshared use via a network connection, international communications, and except under the transmission terms of technical this Agreement; circumvent or personal data. You will not (a) license, sublicense, sell, resell, transfer, assign, distribute disable any technological features or otherwise commercially exploit or make available to any unrelated third party or competitor measures in the Services for protection of ETAIL intellectual property rights; use the Services in an attempt to, or in conjunction with, any waydevice, program, or service designed to circumvent technological measures employed to control access to, or the rights in, a content file or other work protected by the copyright laws of any jurisdiction; (b) modify or make derivative works based upon the Services; (c) “frame” or “mirror” the Services on any other server or wireless or Internet-based device; (d) reverse engineer use or access the Services to compile data in order to (i) build a manner that is used or offer usable by a competitive product or service; use your Account to advertise, (ii) build or offer a product or service using similar ideassolicit, features, functions or graphics of the Services, or (iii) copy any ideas, features, functions or graphics of the Services; (e) use the Services (i) for any illegal purpose, (ii) for unauthorized access or distribution of any software, data, or material protected by copyright, patent, or trade secret, or (iii) to post or transmit any hateful, vulgar, threatening, libelous, abusive, harassing, defamatory, racially, ethnically, or otherwise unlawful or tortious materialcommercial advertisements, including chain letters, junk e-mail or repetitive messages to anyone; use your Account to engage in any illegal conduct; upload to transmit any communications that infringe or violate the rights of any party; upload media of any kind that contain expressions of hate, abuse, offensive images or conduct, obscenity, pornography, sexually explicit or any material harmful that could give rise to children. You shall not: (a) intentionally interfere any civil or criminal liability under applicable law or regulations or that otherwise may be in conflict with or disrupt this Agreement and the integrity or performance of the ServicesCompany’s Privacy Policy; or (b) attempt upload any material that contains software viruses or any other computer code, files or programs designed to gain unauthorized access interrupt, destroy or limit the functionality of any computer software or this website. Any such forbidden use shall immediately terminate your license to the Services, (c) intentionally send or store software viruses, worms, Trojan horses, or other harmful computer code, files, scripts, agents or programs intended to interfere with the Services or other users of the Services.
