Year 2000 Readiness. 19.1 Each party agrees to ensure that all data exchange software it uses in connection with this Agreement and the transactions contemplated by the EBT Standards shall be able to accurately process, provide and/or receive date data from, into and between the twentieth and twenty-first centuries and the years 1999 and 2000, including, but not limited to, calculating, comparing, sequencing, converting and storing such data, and will correctly create, store, process and output information related to or including dates on or after January 1, 2000, provided that all other products (for example, hardware, software and firmware) used with the data exchange software properly exchange accurate date data with it.

Year 2000 Readiness. NBC and the NBC subsidiaries have instituted and are conducting a program to assess and correct Year 2000 issues and, to the best of knowledge of NBC and NBC subsidiaries, NBC and NBC subsidiaries have met all targeted goals to be substantially Year 2000 compliant.
Year 2000 Readiness. To the Company's knowledge and belief, all ------------------- of its accounting software is, and has been represented by its vendor(s) to be, Year 2000 compliant. The Company does not believe that it has any hardware or software or electronically controlled system whose failure to be Year 2000 compliant would have a Material Adverse Effect. The Company has not undertaken any testing or independent verification of the status of any of the third party systems with which it interfaces or upon which it is otherwise dependent. The Company will make appropriate inquiries of all such third parties to the extent the failure of such third parties' systems to be Year 2000 compliant could reasonably be expected to have a Material Adverse Effect, and the Company will develop appropriate contingency plans to address such potential failures, which the parties acknowledge could occur notwithstanding the assurances such third parties may provide. The term "Year 2000 compliant," as used herein in reference to any hardware, software, or other system, shall mean that such hardware, software, or system will (a) correctly handle and process date information before, during and after January 1, 2000, accepting date input, and performing calculations, including but not limited to sorting and sequencing, on dates and portions of dates, (b) function according to the documentation during and after January 1, 2000, without changes in operation resulting from the advent of the new century, (c) where appropriate, respond to two digit date input in a way that resolves any ambiguity as to the century in a disclosed, defined and predetermined manner, (d) store and provide output of date information in ways that are unambiguous as to the century and (e) properly manage the leap year occurring in the year 2000.
Year 2000 Readiness. Any reprogramming required to permit the proper functioning, in and following the year 2000, of (a) the computer systems of the Parent, the Borrower and the Subsidiaries and (b) equipment of the Parent, the Borrower and the Subsidiaries containing embedded microchips and the testing of all such systems and equipment, as so reprogrammed, will be completed by November 30, 1999, except to the extent that failure to do so would not have a Material Adverse Effect. The cost to the Parent, the Borrower and the Subsidiaries of such reprogramming and testing and of the reasonably foreseeable consequences of year 2000 to the Parent, the Borrower and the Subsidiaries (including reprogramming errors) could not reasonably be expected to have a Material Adverse Effect. The Parent, the Borrower and the Subsidiaries have used commercially reasonable efforts to identify all possible failures of the systems or equipment of their material suppliers, vendors and customers and to assess the impact of any such failures on the business, condition (financial or otherwise), operations, performance or properties of the Parent, the Borrower and the Subsidiaries .
Year 2000 Readiness. The Company has conducted a review of each System used in the conduct of the business and operations of the Company and its Subsidiaries to determine whether such System is Year 2000 Ready, and is currently implementing a compliance plan that the Company believes will result in each material System being Year 2000 Ready in all material respects no later than December 31, 1999. Each action to have been taken prior to the date of this Agreement under such plan has been substantially completed and, as of the date of this Agreement, the Company has no Knowledge indicating that any action to be taken under such plan after the date of this Agreement will be materially delayed or will fail to accomplish its purpose under the plan. "System" shall mean all software, hardware and firmware, including without limitation any devices with embedded electronics. A system is "Year 2000 Ready" if it is able to accurately process date and time data from, into and between the years 1999 and 2000, and any other year through the year 2049.
Year 2000 Readiness. The Company has established a Year 2000 Remediation Program on or before the Effective Date.
Year 2000 Readiness. Seller has informed Buyer of its analysis of, the status of development of contingency plans for, and forecasted expenditures with respect to Year 2000 readiness of material computer software and computer firmware comprising the Purchased Assets, as such analysis, contingency plan development and forecast of expenditures exist on the date hereof.

Year 2000 Readiness. Countrywide represents and warrants that it has taken reasonable steps to make its transaction processing and recordkeeping and other systems and equipment compatible with the change in the year 1999 to 2000 without any related errors in reports or material disruption to services provided hereunder and Countrywide expects full compatibility before December 31, 1999.
Year 2000 Readiness. Adviser represents that it has taken, and during the term of this Agreement will continue to take, commercially reasonable steps designed to ensure that all mission-critical software or other information technology used by Adviser in the performance of Adviser's obligations under this Agreement will be Year 2000 compliant in all material respects prior to the end of 1999. Adviser represents that it has taken or is taking steps to obtain assurances from its major service providers that similar efforts were or are being made by those service providers. Adviser further represents that it will continue periodically to update Client, upon request, on its Year 2000 readiness efforts.
Year 2000 Readiness. Service Provider (a) has reviewed its departments, ------------------- divisions, groups, business and operations, (b) has developed or is developing a program to remediate or replace computer applications and systems, and (c) has developed a testing plan to test the remediation or replacement of computer application and systems, in each case, to address on a timely basis the risk that certain computer applications and systems used by Service Provider may be unable to recognize and perform properly date sensitive functions involving dates prior to and after December 31, 1999, including dates such as February 29, 2000 (the "Year 2000 Challenge"). To the best of Service Provider's knowledge and belief, the reasonably foreseeable consequences of the Year 2000 Challenge will not adversely effect Service Provider's ability to perform its duties and obligations under this Agreement.
