Xxxxxxxx Agreement. The Security Interest granted to the Secured Party herein is granted in furtherance, and not in limitation, of the security interests granted to the Secured Party pursuant to the Security Agreement. Each Grantor hereby acknowledges and affirms that the rights and remedies of the Secured Party with respect to the Trademark Collateral are more fully set forth in the Security Agreement, the terms and provisions of which are hereby incorporated herein by reference as if fully set forth herein. In the event of any conflict between the terms of this Agreement and the Security Agreement, the terms of the Security Agreement shall govern.
Xxxxxxxx Agreement. The LOC Facility shall be secured by a General Security Agreement in the standard form of the Lender and such other security as may be required by the Lender from time to time.
Xxxxxxxx Agreement. The purchase agreements between CAC or its subsidiaries and a participating Dealer which sets forth the terms and conditions under which CAC or its subsidiaries purchases from a Dealer the Purchased Loans and related Contracts, as such agreements may be in effect from time to time.
Xxxxxxxx Agreement. The Company shall have assigned the Engagement Letter, dated May 17, 2019, by and between the Company and Xxxxxxxx Inc. to Seller pursuant to documentation in form and substance acceptable to the Purchaser.
Xxxxxxxx Agreement. An "Event of Default" as defined in the Security Agreement dated at or about the date of this Note delivered by Borrower to Holder (the "Security Agreement").
Xxxxxxxx Agreement. Documents. Except as set forth herein or in the other Transaction Documents, Notes and Certificates so owned by the Bank or any such Affiliate will have an equal and proportionate benefit under the provisions of this Agreement and the other Transaction Documents, without preference, priority, or distinction as among all of the Notes and Certificates.
Xxxxxxxx Agreement. (f) Notwithstanding anything herein to the contrary, for purposes of classifying the Issuer as a grantor trust under the Code, no amendment shall be made to this Agreement that would (i) result in a variation of the investment of the beneficial owners of the Certificates for purposes of the United States Treasury Regulation section 301.7701-4(c) without the consent of Noteholders evidencing at least a majority of the Outstanding Note Balance of the Controlling Class and the Majority Certificateholders or (ii) cause the Issuer (or any part thereof) to be classified as other than a grantor trust under subtitle A, chapter 1, subchapter J, part I, subpart E of the Code without the consent of all of the Noteholders and all of the Certificateholders.
Xxxxxxxx Agreement benefit of the Noteholders. In addition, the Bank hereby acknowledges and agrees that for so long as the Notes are outstanding, the Indenture Trustee will have, pursuant to the Transaction Documents, the right to exercise all powers, privileges and claims of XXXX under this Agreement in the event that XXXX shall fail to exercise the same.
Xxxxxxxx Agreement. From and after the Amendment Effective Date, the Collateral (as defined in Section 2.3 of the Loan Agreement) is increased to eight hundred ten thousand (810,000) unissued and not outstanding Common Limited Partnership Units in Borrower.
Xxxxxxxx Agreement. The Security Interest granted pursuant to this Copyright Security Agreement is granted in conjunction with the security interests granted to The Third Lien Agent, for the benefit of the Secured Parties, pursuant to the Security Agreement. Each Grantor hereby acknowledges and affirms that the rights, protections, immunities, indemnities and remedies of The Third Lien Agent with respect to the Security Interest in the Copyright Collateral made and granted hereby are more fully set forth in the Security Agreement, the terms and provisions of which are incorporated by reference herein as if fully set forth herein. To the extent there is any inconsistency between this Copyright Security Agreement and the Security Agreement, the Security Agreement shall control.
