The portions of the Joint Proxy Statement relating to Xxxxxx and its Subsidiaries and other portions within the reasonable control of Xxxxxx and its Subsidiaries will comply in all material respects with the provisions of the Exchange Act and the rules and regulations thereunder.

Triarc shall at any time cease to satisfy either of the conditions set forth in paragraph (c) of Rule 144 (unless at such time pursuant to paragraph (k) of Rule 144 the Bank can sell all of the Triarc Class A Common Stock pledged to the Bank); or shares of the Triarc Class A Common Stock shall cease to be listed on the New York Stock Exchange or the American Stock Exchange or included for trading on the NASDAQ Stock Market/National Market System; or
