Xxxxx Services. You acknowledge that the SOFTWARE PRODUCT may need phone services and data access capability, and that your carrier rates for phone and data apply.
Xxxxx Services. Legal counsel shall not be retained through use of any funds provided by the Department pursuant to the terms of this contract. Further, with the exception of attorney's fees awarded in accordance with S.C. Code Xxx. § 00-00-000, the Department shall under no circumstances become obligated to pay an attorney's fee or the costs of legal action to the CONTRACTOR. This covenant and condition shall apply to any and all suits, legal actions, and judicial appeals of whatever kind or nature to which the CONTRACTOR is a party.
Xxxxx Services. Any other services provided by AMCO to the Companies, or any of them, shall be negotiated between AMCO and such company on such terms and conditions as are mutually agreeable.
Xxxxx Services. Trecora retains Xxxx to provide professional consulting services as requested by the President or CFO of Trecora. Services may include consulting in the areas of SEC filings, NAV enhancements and other areas as may be mutually agreed upon ("Consulting Services").
Xxxxx Services. PSTC shall make available XXXXX filing services (“XXXXX services”) to the Company assuming the Company has no previously unpaid outstanding balance due to PSTC at the time this Agreement is signed. XXXXX services will not be available to the Company if it has an unpaid outstanding balance due to PSTC at the time of this Agreement. The XXXXX services will be available beginning December 1, 2012 for the entire term of the Agreement and will be broken down into two periods: 1) the Introductory Period and; 2) the Regular Period. The Introductory Period will last for twenty four (24) months starting from December 1, 2012. During the Introductory Period, there will be no costs attributable to the Company as a direct result of introductory XXXXX services as established and outlined in Exhibit C of this Agreement. The Introductory Period will only be applicable for the first twenty four (24) months of this Agreement and will not exist in subsequent agreements made through renewal of this Agreement as contemplated in Section 6. At the conclusion of the Introductory Period, the Regular Period will commence and will run for the duration of the term of this Agreement as outlined in Section 6. The Regular Period will consist of at least twelve (12) periodic filings. During the Regular Period the Company will be responsible for any and all charges incurred for XXXXX services pursuant to the XXXXX services fee schedule attached as Exhibit C to this Agreement.
Xxxxx Services. XXXXX shall perform or cause to be performed, with diligence and in a good and workmanlike manner and in accordance with all applicable federal, state, and local laws, rules, regulations, permits, ordinances, orders, decrees, codes, governmental authority directives and other such requirements, and the Access Agreement (collectively, "Applicable Requirements"), the Services, which are defined as (i) all the Work, (ii) all Other Order Obligations at both Sites, (iii) any and all other tasks required by any Other Regulatory Agency relating to, or arising out of Environmental Conditions (as defined below) at both Sites, and (iv) any and all other tasks agreed to hereunder by the Parties, necessary to achieve Project Completion (collectively, the "Services").
Xxxxx Services. Gestao De Processos, Lda. [Portugal – subsidiary of Xxxxx Services – Empressa De Trabalho Temporario, Unipessoal, Lda. (98%) and Xxxxx Services, Inc. (2%)]
Xxxxx Services. Xx. Xxxxx agrees that he will respond promptly and fully to requests for information from Cornerstone, its attorneys or accountants, for a period of one (1) year from the Resignation Date, with the understanding that such requests will be scheduled at mutually convenient times and places. During the first six (6) months of the agreement, Xx. Xxxxx will not receive any additional compensation for his services other than as provided in Paragraph 2. Thereafter, Cornerstone shall compensate Xx. Xxxxx for his services at an hourly rate of $115.38.
