XXXX Representations. XXXX represents and warrants that it owns and/or has the right to grant the licenses herein granted under XXXX Background Technology, that is has the right to enter into this Agreement, that there are no outstanding assignments, grants, licenses, encumbrances, obligations or agreements, either written or oral or implied, inconsistent with this Agreement, and that XXXX shall not enter into any arrangements or agreements inconsistent with the terms of this Agreement.
XXXX Representations. To the best of such Shareholder's knowledge, -------------------- each of the representations and warranties made by XXXX in Section 3 hereof are true and correct.
XXXX Representations. 6.1 Xxxx represents that he is free to enter into this Agreement and that Xxxx has no outstanding agreements which would prohibit him from the execution of this Agreement and carrying out the responsibilities delegated herein.

XXXX Representations. Except for the rights, if any, of the Government, XXXX represents and warrants to Licensee that to the knowledge of XXXX: (a) XXXX is the owner or agent of the entire right, title, and interest in and to Patent Rights (other than the right, title and interest of any joint owner); (b) XXXX has the right to grant the license(s) hereunder; and, (c) XXXX has not knowingly granted and shall not knowingly grant licenses or other rights under the Patent Rights and Assigned Assets that are in conflict with the terms and conditions in this Agreement. XXXX further represents and warrants to Licensee that, since the Termination Effective Date: (a) XXXX has maintained the IND in compliance with all applicable laws and (b) XXXX has not initiated, conducted or otherwise resumed any clinical trial activities pursuant to the IND. XXXX further represents and warrants that the INDs are scientifically valid and in compliance with FDA regulations and guidelines.
XXXX Representations. By executing and delivering this Agreement, Xxx expressly acknowledges and represents that:
XXXX Representations. (a)Each Bank (x) represents and warrants, as of the date such Person became a Bank party hereto, to, and (y) covenants, from the date such Person became a Bank party hereto to the date such Person ceases being a Bank party hereto, for the benefit of, the Agent and the Arranger and their respective Affiliates, and not, for the avoidance of doubt, to or for the benefit of the Company or its Affiliates or any other party hereto, that at least one of the following is and will be true:
XXXX Representations. 12.1 XXXX is the sole legal and equitable owner of the Claims (subject to the paramount title in the State of Alaska).
XXXX Representations. Except as expressly set forth in Section 5.12, the Fund and the Company make no representation or warranty, either directly or indirectly or express or implied, as to any matters whatsoever with respect to Xxxx or Xxxx'x operations and assets.
XXXX Representations. Except for the rights, if any, of the Government, XXXX represents and warrants to Licensee that to the knowledge of XXXX: (a) XXXX is the owner or agent of the entire right, title, and interest in and to Patent Rights (other than the right, title and interest of any joint owner); (b) XXXX has the right to grant the license(s) hereunder; and, (c) XXXX has not knowingly granted and shall not knowingly grant licenses or other rights under the Patent Rights that are in conflict with the terms and conditions in this Agreement.
