Xxxx and Costs. Design-Builder’s duty to indemnify shall apply whether or not disputes are settled before litigation proceedings; and it applies to an Indemnitee’s first costs in defense and all other dispute-related costs, including but not limited to attorneys’ fees, expert fees, and dispute-related Design Professional fees. Each Indemnitee may, in all cases, select legal counsel and experts of its choice; and Design-Builder shall pay the reasonable attorneys’ fees and costs incurred by Indemnitees related thereto. Indemnitees are entitled to recover from Design- Builder all attorneys’ fees incurred in establishing or enforcing their rights to indemnity hereunder.
Xxxx and Costs. As part of the collaboration of this Agreement and NAD and DREDF’s continued involvement in providing advice and monitoring throughout the duration of this Agreement, as well as for consideration for the releases contained herein, TPR shall pay NAD/DREDF the amount of Sixty Thousand Dollars and Zero Cents ($60,000.00). The payment shall be made within thirty (30) days of the Effective Date of this Agreement. The payment to be made to NAD/DREDF shall be paid by check made payable to The Disability Rights Education and Defense Fund (DREDF). NAD/DREDF agree to provide a Form W9 for the above-listed payee. Xxxx and Costs. All fees and expenses of FAA Counsel as defined below shall be paid equally by DFPC and Contractor, provided, however, all such fees, expenses and charges associated with the discharge of any Liens, shall be paid solely by the Contractor.

  • Damages and Costs You agree to pay for damages, lost property or extraordinary service or administrative costs you, your designated roommate or your guests cause to University residence facilities whether through accident, neglect or intent. See Appendix II for more information about assessments.   • TRANSFER AND COSTS 6.1 Transfer of the Property shall be effected by the Conveyancer as soon as possible after the fulfilment or waiver, as the case may be, of the Condition Precedent (if applicable) and as soon as possible after the Drakenstein Municipality or its successors in title has issued a rates clearance certificate in respect of the Property to the Seller for transfer purposes and on condition that the Purchaser has complied with all of his obligations in terms of this Agreement. The Purchaser acknowledges that owing to the complexities and interrelated steps involved in establishing the Development and registering title to all the prospective purchasers, it is beneficial and in the best interests of the Purchaser that the Conveyancers attend to the Transfer.

  • Arbitration Fees and Costs If your claim seeks more than $75,000 in the aggregate, the payment of the AAA’s fees and costs will be governed by the AAA rules. If your claims seek less than $75,000 in the aggregate, the payment of the AAA’s fees and costs will be our responsibility.   • REIMBURSEMENT OF FEES AND COSTS The Parties acknowledge that Xxxxxxxx and his counsel offered to reach preliminary agreement on the material terms of this dispute before reaching terms on the amount of fees and costs to be reimbursed to them. The Parties thereafter reached an accord on the compensation due to Xxxxxxxx and his counsel under general contract principles and the private attorney general doctrine and principles codified at California Code of Civil Procedure § 1021.5, for all work performed through the mutual execution of this agreement.
