Works Council. Where a group of companies consists of units which are not covered by the union’s field of organisation, a works council may be established, consisting of shop stewards for the units constituting the group. In groups of companies having more than 200 employees in Norway, on the Norwegian continental shelf or on Norwegian- registered offshore units abroad and where LO has members, one of the shop stewards in the group’s companies may be elected as group shop xxxxxxx. The group shop xxxxxxx has the same rights and obligations vis-à-vis the group as the company shop stewards have vis-à-vis the company. Entered in the minutes: For the purpose of this agreement group of companies means an association of legally and/or administratively independent entities (e.g. limited liability companies and/or divisions) which financially, and in part administratively and commercially, form entities.
Works Council. There is no works council with jurisdiction over the transaction as envisaged by any Loan Document to which a Dutch Borrower is a party and there is no obligation for a Dutch Borrower to establish a works council pursuant to the Dutch Works Council Act (Wet op de Ondernemingsraden), or, if a works council is established, such Dutch Borrower (or the Company on its behalf) has delivered to the Administrative Agent a confirmation that all consultation obligations in respect of such works council have been complied with and that positive unconditional advice has been obtained, attaching a copy of such advice and a copy of the request for such advice.
Works Council. The Company shall procure that a works council will be established at the level of the Company as soon as reasonably possible after the date of this Agreement.
Works Council. The Administrative Agent shall have received from the Dutch Guarantor a confirmation by an authorized signatory of the Dutch Guarantor that there is no works council with jurisdiction over the transactions as envisaged by any Loan Document to which it is a party and that there is no obligation for the Dutch Guarantor to establish a works council pursuant to the Works Council Act (Wet op de Ondernemingsraden).
Works Council. None of the Dutch Loan Parties other than Basell Benelux B.V. has, or is required to have, a (central) works council ((centrale) ondernemingsraad) and there is no (central) works council which under the Dutch Works Councils Act (Wet op de ondernemingsraden) would have the right to give advice in connection with any Loan Document.
Works Council. No works council has been appointed in respect of any member of the Target Group incorporated in The Netherlands.
Works Council. Bright Netherlands has given any works council (ondernemingsraad) that under the Works Council Act (Wet op de ondernemingsraden) has the right to give advice in relation to the entry into and performance of this Agreement, the opportunity to give such advice and has obtained unconditional positive advice from such works council.
Works Council. The Sellers have or shall in due time inform and consult with the employees and their representatives, if any, to the extent required by Law.
Works Council. Sellers shall have obtained Works Council Advice from the works council of Xxxxxxx Polymer B.V. and shall have delivered such Works Council Advice to Buyer prior to the Closing.
Works Council. As of the Original Effective Date, no works council (ondernemingsraad) has been established or is in the process of being established with respect to the business of the Obligors incorporated under Dutch law nor does an obligation exist for any of these Obligors to establish a works council pursuant to the Dutch Works Councils Act (Wet op de ondernemingsraden).
