Work Offer. If Work performed under this Agreement is to be performed on a Work Offer basis, Contractor shall provide to Company a Work Offer in substantially the form attached hereto as Exhibit "F" or a proposal which shall be attached to the Work Offer and incorporated therein. The Work Offer shall describe in detail the scope of Work to be accomplished on the specific project, and shall include, as applicable: (1) a detailed description of the Work to be performed; (2) designation of the rates and/or classifications of the service to be provided or of Contractor's employees who will perform the work (in accordance with Contractor's price quotation); (3) site and location of work project and project name; (4) the date Contractor shall commence Work; (5) any special conditions or instructions relating to the Work to be performed; (6) a list of Company furnished materials, if any, and the location where said materials may be picked up by or delivered to Contractor. If Work under this Agreement is to be performed pursuant to a Work Offer, the Work Offer must be signed by both the Contractor and Company prior to Contractor proceeding with any particular project, unless Company has given Contractor written authorization otherwise. Contractor understands and agrees that Work to be performed pursuant to Company's Work Offer shall be performed in compliance with and under the terms, conditions and provisions of this Agreement as if this Agreement were incorporated fully in said Work Offer, and that said Work Offer shall become a part of, and shall be governed by this Agreement. Contractor recognizes that this Agreement is not exclusive and does not guarantee Contractor any work or any minimum volume of work. Termination or suspension of Work under any Work Offer, in whole or in part, shall not diminish Contractor's liability or obligation to continue prosecution of Work under any other Work Offers.

Upon notification, the Contractor will cease all work until notified by the City that the violation or unsafe condition has been corrected. The Contractor shall be liable for all costs incurred by the City as a result of the issuance of such Stop Work Notice.

  • Grant Offer 2.1 Subject to the Recipient complying with the terms and conditions set out in this Grant Agreement and the Grant Letter, the Commissioner offers to pay the Grant to the Recipient as a contribution towards eligible expenditure.

  • Grant Completion Deadline The grant completion deadline is the end date of this Agreement set forth in Section 2 above. The Grant Completion Deadline is the date when all grant and matching funds have been paid out or incurred in accordance with the work described in the Scope of Work, detailed in the Estimated Project Budget. If the Grantee finds it necessary to request an extension of the Grant Completion Deadline, an Amendment to the Agreement must be executed as per Section 7, and the stipulations in Section 15 must be met.

  • The Offer (a) Provided that this Agreement shall not have been terminated in accordance with Section 8.1, Parent shall cause Sub to, and Sub shall, commence (within the meaning of Rule 14d-2 under the Securities Exchange Act of 1934, as amended (together with the rules and regulations promulgated thereunder, the “Exchange Act”)) the Offer no later than May 18, 2009 (the date on which the Offer is commenced being referred to herein as the “Commencement Date”). Parent expressly reserves the right to waive any of the Offer Conditions, to increase the Offer Price and to make any other changes in the terms of the Offer; provided, however, that Sub shall not, and Parent shall cause Sub not to, without the prior written consent of the Company (such consent to be authorized by the Company Board of Directors or a duly authorized committee thereof), (i) decrease the Offer Price, (ii) change the form of consideration payable in the Offer, (iii) decrease the number of Shares sought in the Offer, (iv) waive or change the Minimum Condition, (v) impose additional conditions to the Offer or amend any of the Offer Conditions so as to broaden the scope of such Offer Condition, (vi) extend the Offer beyond a date that is twenty-one (21) business days after commencement of the Offer or the last extension (in accordance with this Section 1.1), if any, of the Offer, whichever is later (the “Expiration Date”) except as set forth in Sections 1.1(b) and 1.1(c), or (vii) otherwise amend any other term or condition of the Offer in a manner materially adverse to the holders of Shares.

  • Offer and Acceptance of Weekend Overtime (a) The Employer is committed to providing reasonable notice to Employees of an offer / cancellation of weekend overtime.
