Without Good Reason. Executive may terminate Executive’s employment without Good Reason by written notice by Executive to Company that Executive is terminating Executive’s employment, which termination shall be effective ninety (90) days after the date of such notice.

Executive may voluntarily terminate Executive’s his employment without Good Reason by written notice by Executive delivering to the Company that Executive is a Notice of Termination not less than thirty (30) days prior to the termination of Executive’s employment and the Company shall have the option of terminating Executive’s employmentduties and responsibilities prior to the expiration of such thirty (30) day notice period, which termination and Executive shall be effective ninety (90entitled to the benefits provided in Section 9(a) days after hereof through the date last day of such noticenotice period.

During the Term, the Executive may terminate Executive’s his employment without Without Good Reason by written notice by Executive to Company that Executive is terminating Executive’s employment, which termination shall be effective ninety upon sixty (9060) days after advance written notice. Termination "Without Good Reason" shall mean termination of the date of such noticeExecutive's employment by the Executive other than (i) termination for Company Breach or (ii) a termination more than twelve months following a Change in Control.

Executive may terminate Executive’s his employment with Employer without Good Reason by providing it with written notice by Executive to Company that Executive is terminating Executive’s employment, which termination shall be effective ninety at least sixty (9060) days after prior to the effective date of such noticetermination. In the event that Executive terminates his employment without Good Reason, Employer shall have no further obligation to Executive, except payment of base salary and benefits otherwise payable to Executive under Paragraph 3 through the termination date, and shall not be obligated to provide him with severance of any kind.

Notwithstanding anything contained herein to the contrary, retirement by Executive will constitute termination of employment without Good Reason.

Executive may voluntarily terminate the Employment Term and Executive’s 's employment hereunder without Good Reason by written notice by Executive delivering to the Company that Executive is a Notice of Termination not less than thirty (30) days prior to such termination and the Company shall have the option of terminating Executive’s employment's duties and responsibilities, which termination shall be effective ninety (90) days after but not the date employment relationship, prior to the expiration of such noticethirty-day notice period.

Executive may voluntarily terminate Executive’s employment without Good Reason by written notice by Executive delivering to the Company that Executive is terminating a Notice of Termination not less than twelve (12) months prior to the termination of Executive’s employment, which termination and Executive shall be effective ninety (90entitled to the benefits provided in Section 9(a) days after hereof through the date last day of such noticenotice period.
