Withdrawal Process. A Project Participant who withdraws from this Agreement shall remain liable for payment of its share of the Water Charge. If the withdrawing Project Participant has submitted a Project Water Estimate to the Cooperative for the current Fiscal Year, then it shall remain liable to pay the Water Charge for that Fiscal Year, as if it had taken the entire quantity of Project Water specified in its Project Estimate. Additionally, unless the remaining Project Participants take all or a portion of the withdrawing Project Participant’s Water Allotment, the withdrawing Project Participant shall continue to remain liable for paymentof its share of the Base Rate Charge. This liability shall continue for the term of the Agreement, until such time as the withdrawing Project Participant’s Water Allotment is completely redistributed among the remaining Project Participants.
Withdrawal Process. The Members acknowledge that the withdrawal of a Member may impact the operations and financial condition of the Company, and may adversely impact the Company’s ability to perform its contractual obligations. Accordingly, the withdrawing Member and the Company agree to engage, starting as soon as possible after the Company’s receipt of the voluntary withdrawal notice under Section 11.1, written notice to the Company and the other Members after the occurrence of any event listed in Section 11.2(a) through Section 11.2(f), or the other Members delivery of written notice to the Company and the subject Member after taking action with respect to the occurrence of any event listed in Section 11.2(g) or Section 11.2(h), in good faith discussions with respect to an agreement setting forth the specific post-withdrawal requirements and obligations of the withdrawing Member (“withdrawal agreement”). If a withdrawal agreement is agreed upon and executed prior to the effective date of the withdrawal, its terms will supersede the provisions contained in this Agreement. If no withdrawal agreement is agreed to and executed within that time, the provisions of Section 11.3 through Section 11.6 will govern the withdrawal process and the Member will comply with all reasonable requirements the Company imposes on the withdrawing Member to mitigate such results, including, for example, continued participation in Company activities on the then existing terms and conditions for a period of up to ninety (90) days beyond such Member’s withdrawal; provided that the Company may not impose any new obligations on the withdrawing Member.
Withdrawal Process. Firefighter/Paramedics are expected to maintain their paramedic licenses and participate in the paramedic program unless the Fire Chief approves their withdrawal from the paramedic program in accordance with the following procedure:

A Haz-Mat team member as defined in Section 31.1 shall be permitted to withdrawal from the Haz-Mat program after expiration of his/herfollowing one (1) year of Haz-Mat service and with the approval of the Fire Chief. Once the Withdrawing Party exercises its Withdrawal Right in accordance with Section 11.1.1.2, the Parties shall undertake and accomplish the allocation of space within the Library Building and the reconfiguration of the Library Building that is required for the separate operation of each Party’s main library, in good faith and in as efficient and cost effective manner as possible under the circumstances.

However, you may not withdraw an Amazon Underground App, materially reduce the number of countries or devices on which it is available, or terminate this Agreement during the first three months the Amazon Underground App is included in Amazon Underground, unless we decrease the Per-Minute Rate during that time period (in which case you may withdraw the Amazon Underground App as of the date the lower Per-Minute Rate goes into effect by giving us at least 5 business days’ prior notice) or (b) you withdraw the Amazon Underground App (and any similar version of the Amazon Underground App) from distribution through all Similar Services.

The foregoing notwithstanding, for so long as any Obligation issued by the Cooperative for construction or expansion of the Project remains outstanding, the Anchor Project Participants shall not withdraw from this Agreement unless (a) such withdrawal is approved by the lender of the Cooperative’s Obligation or its successor or (b) such withdrawal is otherwise authorized under the instrument under which such Obligation is incurred.
