Wholesaling Services. Wholesaler shall use its best efforts to provide certain services and support to Retailers to facilitate the offering and selling of Policies. Such activities shall include, but not be limited to, assistance in the appointment of agents; distribution of sales material, newsletters and field service bulletins (subject to Section 12, hereof); assistance with the sales promotional activities with Retailers; and training of sales staff and registered representatives of Retailers with respect to the features of the Policies.
Wholesaling Services. Arete will assist the Fund in connection with its offering of the Shares (the "Offering") as provided herein. Arete will serve as a marketing consultant to the Fund by providing the Fund with the personal securities wholesaling services ("Wholesaling") of registered representatives of Arete, who may include ________________, among others (collectively, the "Representatives"). The Representatives will identify other registered broker-dealers who may wish to sell the Shares in the Offering to their customers ("Sales Agents") and obtain execution of dealer agreements between the Sales Agents and the Fund ("Sales Agent Agreements") pursuant to which the Sales Agents will effect such sales, and Arete will make marketing support calls on, and otherwise provide ongoing marketing services and support to, the Sales Agents during the course of the Offering to promote the offer and sale of the Shares.
Wholesaling Services. Authorized Selling Firm shall receive certain wholesaling services under this Agreement pursuant to a Wholesaling Agreement entered into on , 1999, by American Enterprise Life Insurance Company (the "Company"), American Express Financial Advisors Inc. (the "Distributor") and Talbot Financial Services, Inc. (the "Wholesaler").

The Adviser shall cause Xxxxxxx Capital Securities, LLC (“GCS”), its affiliate, to execute a wholesaling/selling agreement with the statutory distributor of the Fund (the “Selling Agreement”), pursuant to which it shall become the wholesaler for the Fund. Upon effectiveness of the Selling Agreement, GCS will perform all necessary functions and customary services provided in connection with offerings similar to that contemplated in connection with the Fund. The terms and compensation set forth in the Selling Agreement shall be mutually agreed upon by GCS and the Fund and consistent with market norms with respect to each distribution channel contemplated thereby.

(“Cantor”), its affiliate, to execute a wholesaling/selling agreement with the statutory distributor of the Fund (the “Selling Agreement”), pursuant to which it shall become the wholesaler for the Fund. Upon effectiveness of the Selling Agreement, Cantor will perform all necessary functions and customary services provided in connection with offerings similar to that contemplated in connection with the Fund.
