Summit intends to offer up to $50,000,000 in principal amount of its Investment Certificates, Series B and Series B-1 (hereinafter referred to as "Investment Certificates"), which will be offered in reliance on a registration statement filed on Form S-2 with the Securities and Exchange Commission; and
WHEXXXX xxxsuant to that certain letter agrxxxxxx xxted March 15, 2001 (the "Engagement Agreement"), between the Company and Kriegsman, the Company retained Kriegsman to provide financial consultxxx, xxxxning, structuring, busixxxx xxxxtegy and public relations and promotion services to the Company for an expected term of twelve (12) months.

SAFECO recognizes that, as is the case with many publicly held corporations, the possibility of a Change in Control exists and that such possibility, and the uncertainty and questions which it may raise among management, may result in the departure or distraction of management personnel to the detriment of the Company and its stockholders; and
