When the College is considering the introduction of a technological change:
When the College makes a decision about the Allegation it will advise the Student and parent, in writing if possible, about its conclusion as to what happened and whether it amounts to a breach of the Agreement. STAGE TWO: OUTCOME DISCUSSION If the College determines that a breach of the Agreement has occurred, it will advise the Student and parent of the possible disciplinary actions that it will consider taking in response to the breach and will provide the Student and parents with an opportunity to give a response. Where appropriate, having regard to the seriousness of the breach, the Student and parent will have the opportunity to respond either in person or in writing or both, at the choice of the Student. The College will receive this response and give it genuine consideration before making a decision about the disciplinary action to be taken. When the College makes a decision about the disciplinary action that it will take in response to the breach it will advise the Student and parents of its decision, in writing if possible. The disciplinary action will not take effect, and no actions will be taken to put it into place, until the Student and parents have been advised of the decision. INTERNATIONAL STUDENT REFUND POLICY (Schedule Three) Purpose This refunds policy outlines factors that will be considered when a request for a refund of an international student’s fees is made to the College. This policy should be read in conjunction with the Education (Pastoral Care of International Students) Code of Practice 2016 and the Education Xxx 0000.
When the College has notified the Union of the intended technological change, the Parties will meet within 30 days to discuss potential problems and attempt to reach agreement which will minimize the impact of the technological change on affected employees.

In connection with an underwritten offering, the Company will indemnify such underwriters, their officers and directors, and each Person who controls such underwriters (within the meaning of the Securities Act) to the same extent as provided above with respect to the indemnification of the Indemnified Parties or as otherwise agreed to in the underwriting agreement executed in connection with such underwritten offering.
