Common use of Welfare Benefit Plans Clause in Contracts

Welfare Benefit Plans. During the Employment Period, the Executive and/or the Executive's family, as the case may be, shall be eligible for participation in and shall receive all benefits under welfare benefit plans, practices, policies and programs provided by the Company and its affiliated companies (including, without limitation, medical, prescription, dental, disability, salary continuance, employee life, group life, accidental death and travel accident insurance plans and programs) to the extent generally applicable to other peer executives of the Company and its affiliated companies, but in no event shall such plans, practices, policies and programs provide the Executive with benefits which are less favorable, in the aggregate, than (x) the most favorable of such plans, practices, policies and programs in effect for the Executive at any time during the 90-day period immediately preceding the Effective Date or (y) if more favorable to the Executive, those provided at any time after the Effective Date generally to other peer executives of the Company and its affiliated companies.

During the Employment Protected Period, the Executive and/or the Executive's ’s family, as the case may be, shall be eligible for participation in and shall receive all benefits under welfare benefit plans, practices, policies and programs provided by the Company and its affiliated companies the Affiliated Companies (including, including without limitation, limitation medical, prescriptionprescription drug, dental, vision, disability, salary continuance, employee life, group lifelife insurance, accidental death and dismemberment, and travel accident insurance plans and programs) to the extent generally applicable to other peer executives of the Company and its affiliated companiesthe Affiliated Companies, but in no event shall such plans, practices, policies and programs provide the Executive with benefits which that are less favorable, in the aggregate, than (x) the most favorable of such plans, practices, policies and programs in effect for the Executive at any time during the 90120-day period immediately preceding the Effective Date or (y) date of the Change of Control, or, if more favorable to the Executive, those generally provided at any time after the Effective Date generally date of the Change of Control to other peer executives of the Company and its affiliated companiesthe Affiliated Companies.

During the Employment Period, the Executive Officer and/or the ExecutiveOfficer's family, as the case may be, shall be eligible for participation in and shall receive all benefits under welfare benefit plans, practices, policies and programs provided by the Company and its affiliated companies (including, without limitation, medical, prescription, dental, disability, salary continuance, employee life, group life, accidental death and travel accident insurance plans and programs) to the extent applicable generally applicable to other peer executives of the Company and its affiliated companies, but in no event shall such plans, practices, policies and programs provide the Executive Officer with benefits which are less favorable, in the aggregate, than (x) the most favorable of such plans, practices, policies and programs in effect for the Executive Officer at any time during the 90120-day period immediately preceding the Effective Date or (y) or, if more favorable to the ExecutiveOfficer, those provided generally at any time after the Effective Date generally to other peer executives of the Company and its affiliated companies.

During the Change of Control Employment Period, the Executive and/or the Executive's family, as the case may be, shall be eligible for participation in and shall receive all benefits under welfare benefit plans, practices, policies and programs provided by the Company and its affiliated companies (including, without limitation, pension, 401(k), medical, prescription, dental, disability, salary continuance, employee life, group life, accidental death and travel accident insurance plans and programs) to the extent applicable generally applicable to other peer key executives of the Company and its affiliated companies, but in no event shall such plans, practices, policies and programs provide the Executive with benefits which are less favorable, favorable in the aggregate, than (x) the most favorable of such plans, practices, policies and programs in effect for the Executive at any time during the 90120-day period immediately preceding the Effective Date or (y) or, if more favorable to the Executive, those provided generally at any time after the Effective Date generally to other peer key executives of the Company and its affiliated companies.

During the Employment Period, the Executive and/or the Executive's family, as the case may be, shall be eligible for participation entitled to participate in and shall receive all benefits under all of the health and welfare benefit plans, practices, policies and programs provided by the Company and its affiliated companies (including, without limitation, medical, 74 prescription, dental, disability, salary continuance, employee life, group life, accidental death and travel accident insurance plans and programs) to the extent applicable generally applicable to other peer executives of the Company and its affiliated companies, but in no event shall such plans, practices, policies and programs provide the Executive with benefits which are less favorable, in the aggregate, than (x) the most favorable of such plans, practices, policies and programs in effect for the Executive at any time during the 90-one hundred eighty (180) day period immediately preceding the Effective Date or (y) any related Potential Change in Control or, if more favorable to the Executive, those provided generally at any time after the Effective Date generally thereafter to other peer executives of the Company and its affiliated companies.

During the Change of Control Employment Period, the Executive and/or the Executive's family, as the case may be, shall be eligible for participation in and shall receive all benefits under welfare benefit plans, practices, policies and programs provided by the Company and its affiliated companies (including, without limitation, medical, prescription, dental, disability, salary continuance, employee life, group life, accidental death and travel accident insurance plans and programs) to the extent applicable generally applicable to other peer executives of the Company and its affiliated companies, but in no event shall such plans, practices, policies and programs provide the Executive with benefits which are less favorable, favorable in the aggregate, than (x) the most favorable of such plans, practices, policies and programs in effect for the Executive at any time during the 90120-day period immediately preceding the Change of Control Effective Date or (y) or, if more favorable to the Executive, those provided generally at any time after the Change of Control Effective Date generally to other peer executives of the Company and its affiliated companies.

Welfare Benefit Plans. During the Employment Period, the Executive and/or the Executive's family, as the case may be, shall be eligible for participation in and shall receive all benefits under welfare benefit plans, practices, policies and programs provided by the Company and its affiliated companies (including, without limitation, medical, prescription, dental, disability, salary continuance, employee life, group life, accidental death and travel accident insurance plans and programs) to the extent generally applicable to other peer senior executives of the Company and its affiliated companiescompanies on a basis no less favorable than provided for in any Existing Agreement, but in no event shall such plans, practices, policies and programs provide the Executive with benefits which are less favorable, in the aggregate, than (x) the most favorable of such plans, practices, policies and programs in effect for the Executive at any time during the 90120-day period immediately preceding the Effective Date or (y) or, if more favorable to the Executive, those provided generally at any time after the Effective Date generally to other peer executives of the Company and its affiliated companies.

During the Employment Period, the Executive and/or the Executive's family, as the case may be, shall be eligible for participation entitled to participate in and shall receive all benefits under all of the health and welfare benefit plans, practices, policies and programs provided by the Company and its affiliated companies (including, without limitation, medical, 40 prescription, dental, disability, salary continuance, employee life, group life, accidental death and travel accident insurance plans and programs) to the extent applicable generally applicable to other peer executives of the Company and its affiliated companies, but in no event shall such plans, practices, policies and programs provide the Executive with benefits which are less favorable, in the aggregate, than (x) the most favorable of such plans, practices, policies and programs in effect for the Executive at any time during the 90-one hundred eighty (180) day period immediately preceding the Effective Date or (y) any related Potential Change in Control or, if more favorable to the Executive, those provided generally at any time after the Effective Date generally thereafter to other peer executives of the Company and its affiliated companies.

Welfare Benefit Plans. During the Employment Protected Period, the Executive and/or the Executive's family, as the case may be, shall be eligible for participation in and shall receive all benefits under welfare benefit plans, practices, policies and programs provided by the Company and its affiliated companies the Affiliated Companies (including, including without limitation, limitation medical, prescriptionprescription drug, dental, vision, disability, salary continuance, employee life, group lifelife insurance, accidental death and dismemberment, and travel accident insurance plans and programs) to the extent generally applicable to other peer executives of the Company and its affiliated companiesthe Affiliated Companies, but in no event shall such plans, practices, policies and programs provide the Executive with benefits which that are less favorable, in the aggregate, than (x) the most favorable of such plans, practices, policies and programs in effect for the Executive at any time during the 90120-day period immediately preceding the Effective Date or (y) date of the Change of Control, or, if more favorable to the Executive, those generally provided at any time after the Effective Date generally date of the Change of Control to other peer executives of the Company and its affiliated companiesthe Affiliated Companies.
