WARRANTY TERMS AND CONDITIONS. 1.1 The Seller guarantees sold goods against any manufacturing defects for twelve months from the purchasing date. This warranty only covers hardware product components and only applies to hardware products manufactured by or on behalf of the Seller and that can be identified through the mark, the trade name or the “Gilbarco” logo on them, or anyway equipped with the relevant sale invoice. The software (by the Seller or by third parties) is subject to licence contracts with the final user or to distinct warranty conditions.‌

WARRANTY TERMS AND CONDITIONS. The Object of Purchase has defects if it or its part does not correspond to the result set forth in this Contract. The Seller is liable for any defects of the Object of Purchase or its parts at the time of their handover and takeover, and is also liable for any defects of the Object of Purchase or its parts found during the entire warranty period (quality warranty). The Seller provides a quality warranty on the Object of Purchase and/or its part of 12 months. The warranty period for each part of the Object of Purchase shall begin on the day of the signature of the corresponding Handover Protocol by both Parties. If the Handover Protocol lists any deficiencies, the warranty period shall begin on the day, which follows the day, in which the last deficiency was removed. The Seller shall pass any existing components warranty to the Buyer. If on the warranty list or other document submitted by the Seller the warranty period is of longer duration, then this longer warranty period shall have priority over the period stated in this Contract. The Buyer shall request the Seller to remove the defects of the Object of Purchase or a part thereof during the warranty period in writing without undue delay upon their discovery, but no later than on the last day of the warranty period (hereinafter the “Claim”). Even a Claim asserted by the Buyer on the last day of the warranty period is considered to have been asserted in due time. The Seller undertakes to examine the Claim, notify the Buyer of whether or not it accepts the Claim, and provide in writing the deadline for the removal of the defect within two (2) weeks from the delivery of the Claim by the Buyer. The Seller undertakes to gratuitously remove any defects of the Object of Purchase or its part without undue delay and shall bear all the expenses related with removal of the defects. The deadline for the removal of the defect is one (1) month from the delivery of the Claim, unless otherwise agreed between the Seller and the Buyer, and if the nature of the defect so permits. The Seller is obliged to remove the defects within the specified time limit, even if he believes that he is not liable for the defects. The costs of removing the defects in these disputed cases shall be borne by the Seller until the clarification or resolution of the conflict. WARRANTY TERMS AND CONDITIONS. THE OBLIGATIONS OF WOODLINE SHADE SOLUTIONS HEREUNDER ARE LIMITED TO REPAIR OR REPLACEMENT OF PARTS OF THE PRODUCT FOUND TO BE DEFECTIVE UNDER THIS LIMITED WARRANTY. IN NO EVENT SHALL WOODLINE SHADE SOLUTIONS BE LIABLE FOR ANY INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO TIME, WAGES OR LOST PROFITS, OF ANY NATURE OR KIND OR FOR DAMAGES TO OR LOSS OF PROPERTY. In addition, Woodline Shade Solutions reserves the right to modify, refine, or improve its products and parts including making substitutions, without incurring any responsibility to modify, exchange, replace or repair any parts or products to meet prior specifications. WARRANTY TERMS AND CONDITIONS. The following terms and conditions (the “Warranty Terms and Conditions”) apply to the warranty made by Milliken & Company (“Milliken”) for Milliken Mosaic Moisture XT Spray Adhesive for use with modular carpet and 5.0mm LVT. These Warranty Terms and Conditions and related warranty do not apply to non-commercial installations. The warranty provided herein is in lieu of any and all other warranties, express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose. This warranty is subject to the limitations and exclusions set forth in these Warranty Terms and Conditions and in the individual warranty. The warranty only applies when bond testing, substrate preparation, adhesive application and installation have all been performed in accordance with the requirements and instructions set forth on the product label, the product specification sheet, Xxxxxxxx’x then current published instructions for installation of modular carpet (which are specific for each carpet product), Change Agent and/or Loose Lay 5.0mmLVT (as applicable), and the then current Carpet and Rug Institute publication CRI 104 (as applicable) (collectively, the “Documentation”). Furthermore, the installation must be in an indoor commercial environment. The warranty shall not apply (i) to installations on substrates that were not prepared as instructed in the Documentation; (ii) to substrates that are not free of silicate penetrating curing compounds and other topical or integral treatments that violate ASTM F710; (iii) to installations over substrates where hydrostatic pressure exists; (iv) where the claimant does not have written and photographic documentation of the bond testing conducted prior to the installation; (v) to installation failures due to outside sources of water; (vi) to installations taken up or replaced prior to inspection by authorized Milliken personnel; (vii) to installations with chemically cleaned substrates, where improper cleaning methods have been used, or where adhesive removers have been applied; (viii) to installations using incompatible curing compounds, mold release agents, or non-Portland cement based leveling or patch compounds; (ix) to failure of leveling or patch compounds of any kind; (x) to damage caused by expansion joints or other structural areas; (xi) to structural failure, seismic action, discoloration, caustic solutions entering the system topically through joints; or (xii) where the adhesive pro...
WARRANTY TERMS AND CONDITIONS. During the Warranty Period and subject to the terms and exclusions of this warranty, Xxxxx will bear the expense of, at its option, the repair, reinforcement or replacement for any part of the Goods, which part has been manufactured by Xxxxx and which Xxxxx determines to have failed because of defective material or workmanship under normal and proper use and service. This warranty (and any optional extended warranty) covers only failure resulting from defect(s) in parts, materials and/or workmanship provided by Xxxxx. It does not cover failure and/or repairs resulting from other causes, including but not limited to buyer or dealer disassembly, misassembly, alteration, improper service/maintenance, abuse and/or misuse. The labor for any such repairs, reinforcement or replacement shall be performed, at Xxxxx’ option, by the Buyer of Xxxxx or a subcontractor of Xxxxx. In the event that Xxxxx elects to have Buyer furnish the labor, Xxxxx shall not engage a subcontractor to perform the work without first obtaining Xxxxx’ written consent, which consent my be granted or withheld in Xxxxx’ sole discretion. In the event that Xxxxx elects to have Buyer furnish the labor, Xxxxx’ liability for the expense of labor shall be limited to the Buyer’s direct labor rate per hour for a reasonable amount of labor hours performed on the basis of an ordinary work schedule. “Buyer’s direct labor rate per hour” means only the amount of wages paid for each hour reflected on copies of time cards to be submitted to Xxxxx as a part of the Warranty Claim Form (as defined herein) and does not include any amounts paid as fringe benefits or overhead. The Buyer shall bear the cost of any premium charges for overtime labor and any special charges for service calls assessed in connection with the labor furnished for such repairs, reinforcement or replacement.
