Warranty Items. <Garage> will notify <Agency> when items can be repaired under warranty before such repairs are made. If repairs cannot be reimbursed (parts and/or labor) by the manufacturer to <Garage> it will be determined by <Agency> where the repairs will be performed.

Warranty Items. If the returned defective item under warranty tested is found to be operational (not defective), Kentek will notify the customer of our findings and a charge for Kentek's testing and evaluation time will be billed back to the customer at $75 per hour minimum of two (2) hours. Exchange Program Kentek has identified a selected list of material such as printed circuit boards and power supply units that can be exchanged for a repaired and tested replacement with a 90-day warranty given by Kentek. The procedure to return defective items under our Exchange Program is the same as the procedure for returning defective items under warranty as stated above. 109 KENTEK INFORMATION SYSTEMS, INC. KENTEK'S TRAINING PROGRAM Kentek will provide the customer with one (1) training class, with up to six (6) students at no cost. The class will be held at Kentek corporate headquarters. Any additional training requested by the customer will be offered at a "most favored status" price. In the event the customer requests the training class to be held anywhere other than Kentek corporate headquarters, the customer will reimburse Kentek for all travel and living expenses incurred by our training personnel during the course. The rates for additional training courses, if required, are included as a part of this Schedule. The rates for field service support from Kentek to resolve a problem at the customer's location or at a printer location, are included in this Schedule I. A minimum of four (4) weeks notice is required to schedule a training course at either Kentek's or the customer's training location. 110 KENTEK INFORMATION SYSTEMS, INC. PRINTER TRAINING PROGRAM COURSE ITINERARY The training session will be a 3-day course and classes will be a standard eight (8) hour day.
Warranty Items. Seller hereby warrants to Purchaser that the Equipment identified on Schedule 7.6A attached hereto (the “Warranty Item(s)”) are, or will be as of the Effective Date, in good operating condition and repair (subject to normal wear and tear). If any Warranty Item: (i) is not in good operating condition and repair (subject to normal wear and tear), so as to permit its operation substantially as conducted by Seller prior to Seller’s decommissioning of such Warranty Item from operation, and in a fashion which meets or exceeds the applicable equipment specifications with respect to each such Warranty Item provided to Purchaser by Seller (the “Equipment Specifications”); or (ii) thereafter, fails in its operation substantially as conducted by Seller prior to Seller’s decommissioning of such Warranty Item from operation, or fails to meet or exceed the applicable Equipment Specifications, Purchaser’s exclusive remedy as to such Warranty Item shall be limited to repair of the applicable Warranty Item by Seller or issuance of a cash refund in the amount of the Asset Purchase Price allocable to such Warranty Item by the Seller. It shall be within Seller’s sole discretion to elect to repair or to refund the portion of the Asset Purchase Price allocated to any piece of Equipment which is a Warranty Item. Purchaser shall provide prompt notice to Seller of any Warranty Item which requires repair following Purchaser’s knowledge thereof, and in all events sufficiently promptly to minimize any further damage to such Warranty Item. Purchaser shall provide reasonable access to the Premises to Seller, its employees or contractors so as to allow Seller to effect any repair to a Warranty Item.

Warranty Items. The Seller hereby warrants to the Buyer that the Partnerships Equipment (the "WARRANTY ITEM(S)") are, and will be as of the Closing and throughout the Warranty Period (as defined below), in good operating condition and repair (subject to normal wear and tear). The Buyer's exclusive remedy as to the Warranty Items shall be limited to repair of the applicable Warranty Item by the Seller. The Buyer shall provide prompt notice to the Seller of any Warranty Item which requires repair following the Buyer's knowledge thereof, and in all events sufficiently promptly to minimize any further damage to such Warranty Item.

The warranty claims that relate to defects caused by any of the following factors are not covered by the Contractual Warranty: • Improper Use or Non-compliance with installation, commissioning, operation or maintenance instructions (i.e. not according to the operation & installation manual) • Unauthorized modifications, changes or attempted repairs, • Vandalism, destruction through external influence and/or persons/animals • Use in an unsuitable environment, including any environment or location that causes excessive wear and tear or dirt or dust or debris buildup within the system or that is difficult or unsafe for Xantrex LLC representatives to access • Insufficient ventilation • Installation in a corrosive environment • Failure to observe applicable safety standards & regulations • Damages during transportation or storage • Force majeure, examples include, but not limited to: fire, flood, earthquakes, storm damage, overvoltage & lightning strikes • Exposure to fire, water, snow, moisture, or liquid ingress (except for any such exposure to environmental conditions that your Product was specifically designed to withstand as indicated in the applicable specifications for your Product) • Used as a component part of a product expressly warranted by another manufacturer • If the original identification (trade-mark, serial number) markings have been defaced, altered, or removed • Consumable components of any type are not covered, including but not limited to fans, fuses and filters etc. • Cosmetic shortcoming which do not impair the use of the product for the intended purpose i.e. supply of energy Warranty claims also exclude: • Damages arising due to the fact that the use of the product for the intended purpose is no longer possible or only possible with restrictions as a result of amendments to the statutory provisions applicable to the operation of the product made after the delivery of the product • Compensation for damages related to loss of power production or business operation or any expenses incurred by customer towards repair & replacement of the product (including but not limited to labor, transportation, temporary power) • Cost arising from changes to existing PV systems or building installations or vehicle or marine vessel installation and like • Additional costs and expenses (i.e. shipping costs, travel, accommodation, meals, etc.) arising due to remote locations of the indicated geographies, including but not limited to islands and overseas territories

  • Warranty Exclusions The Limited Warranty in clauses 1.2 and 1.3 does not apply:

  • Collection of Taxes, Assessments and Similar Items; Escrow Accounts (a) To the extent required by the related Mortgage Note and not violative of current law, the Master Servicer shall establish and maintain one or more accounts (each, an "Escrow Account") and deposit and retain therein all collections from the Mortgagors (or advances by the Master Servicer) for the payment of taxes, assessments, hazard insurance premiums or comparable items for the account of the Mortgagors. Nothing herein shall require the Master Servicer to compel a Mortgagor to establish an Escrow Account in violation of applicable law.

  • Warranty Seller warrants that the Products sold by Seller to Purchaser conform to Seller’s specifications and are free from defects in material and workmanship. Unless otherwise specified by Seller in writing, this warranty extends for one year from the date of original purchase. All warranties apply only to the original Purchaser unless otherwise agreed by Seller in writing. IN THE EVENT WARRANTIES EXIST AT LAW THAT MAY NOT BE DISCLAIMED, PURCHASER AGREES THAT SUCH WARRANTIES SHALL BE LIMITED IN DURATION TO THE ONE YEAR WARRANTY PERIOD AND TO THE REPLACEMENT VALUE OF THE PRODUCT.

  • Due Diligence Items Buyer’s Due Diligence shall consist of Buyer’s review and approval of the contents of the Seller Disclosures referenced in Section 7, and any other tests, evaluations and verifications of the Property deemed necessary or appropriate by Buyer, such as: the physical condition of the Property; the existence of any hazardous substances, environmental issues or geologic conditions; the square footage or acreage of the land and/or improvements; the condition of the roof, walls, and foundation; the condition of the plumbing, electrical, mechanical, heating and air conditioning systems and fixtures; the condition of all appliances; the costs and availability of homeowners’ insurance and flood insurance, if applicable; water source, availability and quality; the location of property lines; regulatory use restrictions or violations; fees for services such as XXX xxxx, municipal services, and utility costs; convicted sex offenders residing in proximity to the Property; and any other matters deemed material to Buyer in making a decision to purchase the Property. Unless otherwise provided in the REPC, all of Buyer’s Due Diligence shall be paid for by Buyer and shall be conducted by individuals or entities of Buyer's choice. Seller agrees to cooperate with Buyer’s Due Diligence. Buyer agrees to pay for any damage to the Property resulting from any such inspections or tests during the Due Diligence.
