Warranties repeated. The Warranties are given on and as at the date of this Agreement with respect to the facts and circumstances subsisting as at the date of this Agreement. In addition, the Warranties shall be deemed to be repeated:
Warranties repeated. The warranties given under the Agreement are deemed to be repeated by each party on the Commencement Date and on each day during the Term that a party provides Pre-existing IPR, Third Party IP or Project IP to another other party.
Warranties repeated. The representations and warranties set out in Clause 7 are given as at the date hereof and shall be deemed to be repeated by Vendor and the Company as at the Placing Completion Date as if given or made at such time, with reference in each case to the facts and circumstances then subsisting. The Vendor undertakes up to and until completion of this Agreement or its earlier termination to notify the Placing Agent of any matter or event coming to its attention prior to the Placing Completion Date which would or would reasonably be considered to render or have rendered any of the representations and warranties made by it set out in Clause 7.1 untrue, inaccurate or misleading in any material respect. The Vendor and the Company shall not, and shall use their respective best endeavours to procure that no member of the Group shall, at any time prior to or on the Placing Completion Date do or omit to do anything which may cause any of the representation and warranties made by it and set out in Clause 7.1 to be untrue in any material respect.
Warranties repeated. The representations and warranties in clauses 20.1 and 20.2 will be deemed to be repeated continuously by the Provider or Authority (as appropriate) during the term of this agreement and the period for which the Provider provides transitional assistance.
Warranties repeated. Each Company Warranty and each Securityholder Warranty will be deemed to be repeated at Closing by the Company and the applicable Company Securityholder, respectively, as if it had been made on and effective as at such time (by reference to the circumstances then existing).
Warranties repeated. Each Purchaser Warranty will be deemed to be repeated by the Purchaser at the Closing, as if it had been made on and effective as at such time (by reference to the circumstances existing).

Each of the Warranties is given on the basis that it will remain true and accurate in all respects up to and including Completion, and the Company and the Founder Shareholder undertake to forthwith disclose in writing to the Investor any matter or thing which may arise or become known to the Company and the Founder Shareholder after the date of this Agreement and before Completion which is inconsistent with any of the Warranties.

The Seller Warranties and the warranties given by the Buyer under Clause 4.2 are given on the date of this Agreement and shall be deemed to be repeated by the Seller and the Buyer respectively immediately prior to Completion by reference to the facts and circumstances then subsisting.

The Covenantors further warrant and represent to and undertake with the Purchaser that each of the Warranties will be true and not misleading and will have been complied with in all respects as if entered into afresh at Completion. For this purpose, where there is an express or implied reference in a Warranty to the “date of this Agreement”, that reference is to be construed as a reference to the date of Completion.
