Common use of Waivers; Amendment Clause in Contracts

Waivers; Amendment. (a) No failure or delay of the Administrative Agent of any in exercising any power or right hereunder shall operate as a waiver thereof, nor shall any single or partial exercise of any such right or power, or any abandonment or discontinuance of steps to enforce such a right or power, preclude any other or further exercise thereof or the exercise of any other right or power. The rights and remedies of the Administrative Agent hereunder and of the Lenders other Guaranteed Parties under the other Loan Documents are cumulative and are not exclusive of any rights or remedies that they would otherwise have. No waiver of any provision of this Agreement or consent to any departure by any Subsidiary Guarantor therefrom shall in any event be effective unless the same shall be permitted by paragraph subsection (b) below, and then such waiver and or consent shall be effective only in the specific instance and for the purpose for which given. No waiver of any provision of this Agreement or consent to any departure by any the Parent Guarantor therefrom shall in any event be effective unless the same shall be permitted by paragraph (b) below, and then such waiver and consent shall be effective only in the specific instance and for the purpose for which given. No notice or demand on any the Parent Guarantor in any case shall entitle such the Parent Guarantor to any other or further notice in similar or other circumstances.

The rights and remedies of the Administrative Senior Collateral Agent hereunder and of the Lenders other Senior Secured Parties under the other Senior Loan Documents are cumulative and are not exclusive of any rights or remedies that they would otherwise have. No waiver of any provision of this Agreement or consent to any departure by any Subsidiary Guarantor therefrom shall in any event be effective unless the same shall be permitted by paragraph clause (b) below), and then such waiver and or consent shall be effective only in the specific instance and for the purpose for which given. No notice or demand on any Subsidiary Guarantor in any case shall entitle such Subsidiary Guarantor to any other or further notice or demand in similar or other circumstances.

No waiver of any provision of this Guarantee Agreement or any other Loan Document or consent to any departure by any Guarantor therefrom shall in any event be effective unless the same shall be permitted by paragraph (b) belowof this Section, and then such waiver and or consent shall be effective only in the specific instance and for the purpose for which given. No notice or demand on any Guarantor in any case shall entitle such Guarantor to any other or further notice or demand in similar or other circumstances.

The rights and remedies of the Administrative Agent Agent, any other Credit Party or any Guarantor hereunder and of the Lenders under the other Loan Documents are cumulative and are not exclusive of any rights or remedies that they would otherwise have. No waiver of any provision of this Agreement or consent to any departure by the Company or any other Guarantor therefrom shall in any event be effective unless the same shall be permitted by paragraph (b) below, and then such waiver and or consent shall be effective only in the specific instance and for the purpose for which given. No notice or demand on the Company or any other Guarantor in any case shall entitle the Company or such Guarantor to any other or further notice or demand in similar or other circumstances.

The rights and remedies of the Administrative Agent hereunder Beneficiaries hereunder, under the Notes, and of the Lenders under the other Loan Transaction Documents are cumulative and are not exclusive of any rights or remedies that they it would otherwise have. No waiver of any provision provisions of this Agreement or consent to any departure by any the Guarantor therefrom shall in any event be effective unless the same shall be permitted by paragraph (b) below, and then such waiver and or consent shall be effective only in the specific instance and for the purpose for which given. No notice or demand on any the Guarantor in any case shall entitle such the Guarantor to any other or further notice or demand in similar or other circumstances.

(a) No failure or delay of the Administrative Agent of any Holder in exercising any power or right light hereunder shall operate as a waiver thereof, nor shall any single or partial exercise of any such right or power, or any abandonment or discontinuance of steps to enforce such a right or power, preclude any other or further exercise thereof or the exercise of any other right or power. The rights and remedies of the Administrative Agent any Holder hereunder and of the Lenders or under the other Loan Documents Note Purchase Agreement, the Notes or this Agreement are cumulative and are not exclusive of any rights or remedies that they would otherwise have. No waiver of any provision of this Agreement or consent to any departure by any Subsidiary Guarantor therefrom shall in any event be effective unless the same shall be permitted by paragraph (b) below, and then such waiver and or consent shall be effective only in the specific instance and for the purpose for which given. No notice or demand on any Subsidiary Guarantor in any case shall entitle such Subsidiary Guarantor to any other or further notice or demand in similar or other circumstances.

No notice or demand on the Borrower or any Guarantor in any case shall entitle the Borrower or such Guarantor to any other or further notice or demand in similar or other circumstances.
