Waiver Rights. Buyer reserves the right to waive, in whole or in part, any provision hereof which is for the benefit of Buyer. Seller reserves the right to waive, in whole or in part, any provision hereof that is for the benefit of Seller.
Waiver Rights. The listing of specific management rights in this Agreement is not intended to be, nor shall it be restrictive or a waiver of any rights of management not listed and specifically surrendered herein, whether or not such right have been exercised by the Board in the past.
Waiver Rights. 10.1 Failure on the part of the Parties to enforce at any time or for any period of time the provisions hereof shall not be construed to be a waiver of any provisions or of the right thereafter to enforce each and every provision. Each of the rights of the respective Parties hereto are independent, cumulative and without prejudice to all other rights available to them.
Waiver Rights. The Senior Creditors shall have no obligation to -------------- take, and the Junior Creditors shall have the sole responsibility for taking, any and all actions necessary or appropriate to preserve rights against any and all prior parties to any instrument representing the Subordinated Indebtedness or any part thereof. No delay by the Senior Creditors in exercising any right or rights hereunder or in failing to exercise the same shall operate as a waiver of any such right or rights. No notice to or demand on any Obligor or any Junior Creditor shall be deemed a waiver of the Senior Creditors' right to take further action without notice or demand. No modification, alteration or waiver of any of the provisions hereof shall be effective unless in writing and signed by the Senior Creditors and then only in the specific instance for which given without in any way impairing the rights of the Senior Creditors in any other respect at any time. Each Junior Creditor hereby waives and agrees not to exercise any right of setoff against the Subordinated Indebtedness for any indebtedness, liability or obligation of such Junior Creditor to any Obligor.
Waiver Rights. TRT reserves the right to waive, in whole or in part, any provision hereof that is for the benefit of TRT. Each Contributor reserves the right to waive, in whole or in part, any provision hereof that is for the benefit of a Contributor. Any waiver of any provision of this Agreement by or on behalf of the Joint Venture may be made only with the consent of both DDR and TRT.
Waiver Rights. Strategic reserves the right to waive, in whole or in part, any provision hereof which is for the benefit of Strategic. Management LLC reserves the right to waive, in whole or in part, any provision hereof which is for the benefit of Management LLC. Partnership reserves the right to waive, in whole or in part, any provision hereof that is for the benefit of Partnership. The Existing Partners reserve the right to waive, in whole or in part, any provision hereof that is for the benefit of the Existing Partners.
Waiver Rights. Any waiver by either Party of its rights under this Agreement, shall not be deemed a waiver with respect to any rights that subsequently accrue. Any delay, less than the statutory period of limitations, in asserting or enforcing any rights under this Agreement, shall not be deemed a waiver of such rights.
Waiver Rights. Investor reserves the right to waive, in whole or in part, any provision hereof which is for the benefit of Investor. Existing Members reserve the right to waive, in whole or in part, any provision hereof that is for the benefit of Existing Members.
Waiver Rights. 32.1 Save to the extent expressly set out in this Agreement, this Agreement is not intended to create nor shall it create, any rights, entitlement, claims or benefits enforceable by any person that is not a party to it.
Waiver Rights. HPTE may waive any of the Conditions Precedent to the Commencement Date (save for the second condition precedent to that date listed in Part 1a of Schedule 2), and any of the Conditions Precedent to the Phase 1 Services Commencement Date and any of the Conditions Precedent to the Full Services Commencement Date; provided that no Person will be entitled to assume that HPTE will waive or refuse to waive any condition precedent in the absence of strict compliance therewith. Unless HPTE waives in writing a condition precedent that requires action by the Concessionaire to be satisfied, the Concessionaire will remain bound to use reasonable endeavors to satisfy the condition precedent.
